General Terms and Conditions
1.1 These General Terms and Conditions (hereinafter "T&C") apply to all deliveries of goods by Airproduct AG, Bremgartenstrasse 21, 8966 Oberwil-Lieli (hereinafter "Airproduct AG"). The current version is available at www.airproduct.ch.
1.2 Amendments to these T&C will be communicated to the customer in writing. They are deemed accepted unless a written objection is made within 20 days of notification.
1.3 Airproduct AG delivers exclusively on the basis of these T&C. Deviations are only valid in written form. The customer's general terms and conditions do not become part of the contract, even if Airproduct AG does not expressly object in general.
1.4 Should individual clauses of these T&C or any additional agreements made become invalid initially or subsequently, this shall not affect the validity of the remaining clauses.
1.5 We reserve the right to adjust prices regularly due to changes in market conditions or exchange rate fluctuations. Our price lists and offers are only binding within specifically stated offer periods. Subject to price, model, and technical changes as well as printing errors.
2.1 Sales documents and technical descriptions provided by Airproduct AG prior to an order are, unless otherwise expressly stated in writing, non-binding.
2.2 We retain ownership, trademark, and copyright rights to logos, brands, images, drawings, and other documents. They may only be used for the contractually intended purpose and may not be disclosed to third parties without our consent.
2.3 The contract is concluded once you receive an order confirmation by email.
2.4 If Airproduct AG responds to an order with a deviating delivery offer, this must be rejected in writing within 5 days; otherwise, the amended offer is deemed accepted.
2.5 Orders for goods that are not part of the Airproduct AG range and are processed as special purchases must reach a minimum item value of CHF 100 or be part of an order with a minimum total value of CHF 500. In addition, all special purchase items must be ordered in writing by the client or the order must be confirmed in writing.
3.1 The offered or confirmed prices are net prices. Price changes reserved. VAT, VOC, and RG are not included in the prices. The minimum order value is CHF 30.
3.2 All freight, insurance, approval, and certification costs are borne by the client, unless otherwise agreed. The same applies to official taxes, fees, duties, and other charges levied in connection with the fulfillment of the contract, unless otherwise agreed. If such charges have been paid by Airproduct AG, they must be reimbursed upon first request, unless otherwise agreed.
4.1 The following payment methods are generally available:
Invoice: The invoice amount is payable by bank transfer to the Airproduct AG account within 30 days net without any deductions after receipt of the goods and invoice. Failure to pay within the deadline constitutes default. We reserve the right to offer purchase on account only after a successful credit check.
Advance payment: When selecting advance payment, our bank details will be sent in a separate email and the goods will be delivered after payment is received.
Payment upon collection: The invoice amount is payable in cash or by card upon collection.
4.2 If payment deadlines are not met, Airproduct AG or the collection service provider is entitled to charge the following costs for late payment:
a) Default interest of 5%
b) Reminder fees of CHF 20 (for invoices up to CHF 1,000) or CHF 50 (for invoices over CHF 1,000) per reminder.
4.3 Airproduct AG sends reminders after the due date as follows:
After 21 days: Payment reminder
After 42 days: 1st reminder
After 63 days: 2nd reminder (including debt collection notice)
4.4 If payment obligations are overdue, Airproduct AG is entitled to pause deliveries until the outstanding balance is fully settled.
4.5 Airproduct AG is entitled to offset any claims made by customers against payment obligations due ("set-off situation"). Customers may only offset payment obligations with claims that are acknowledged by Airproduct AG or legally established.
4.6 In the event of payment default or justified doubts about the customer's solvency, Airproduct AG is entitled to make all claims from the business relationship due immediately and to make the delivery of unpaid goods dependent on advance payments.
5.1 Airproduct AG ensures prompt order processing but, due to decentralized logistics structures, cannot generally guarantee binding delivery times.
5.2 Airproduct AG places great importance on indicating availability and delivery times in the online shop accurately and up to date. However, due to production or delivery bottlenecks, delays may occur. All information on availability and delivery times is therefore non-binding and subject to change at any time.
5.3 Commitments regarding delivery times or dates are only binding if confirmed in writing by Airproduct AG.
5.4 Partial deliveries are permissible.
5.5 If a delivery period cannot be met for any of the following reasons, it will be extended by a reasonable period:
a) Non-compliance with the delivery period is due to force majeure or other unforeseeable events beyond the control of Airproduct AG.
b) The client has not fulfilled contractual obligations.
c) Subsequent changes or additions are requested.
d) The client has provided incorrect delivery addresses.
6.1 Delivery according to Incoterms 2020. The applicable variant is stated in the order confirmation.
7.1 Airproduct AG retains ownership of the goods until full payment of the delivery, including all related additional costs. As long as all outstanding claims are not paid, Airproduct AG is entitled to register a retention of title on the delivered goods at the customer's expense.
7.2 The customer undertakes to refrain from any actions that would contradict the objectives of the retention of title.
8.1 In accordance with the following provisions, Airproduct AG provides a warranty against production or material defects in the delivered goods for 24 months from the delivery date, except for designated special purchase items, unless otherwise required by law.
8.2 If the delivered goods are defective, the customer must notify Airproduct AG in writing within 10 working days of receipt. Hidden defects discovered after this period, which could not have been identified by proper inspection, must be reported in writing within 5 working days of discovery. If no written complaint is made within the deadlines, the delivery is deemed accepted and the customer loses any warranty claims.
8.3 Warranty exclusions apply to damages resulting from improper storage, natural wear and tear, inadequate processing, and disregard of regulations. Warranty is also excluded if the customer or third parties not authorized by Airproduct AG make modifications or repairs to the delivered goods.
8.4 For defects occurring after the 24-month warranty period, Airproduct AG excludes any warranty claims.
8.5 If a complaint is justified, Airproduct AG may, at its discretion, remedy the defect by repairing the defective goods or delivering new, defect-free goods.
8.6 Any further customer claims due to defective goods, in particular rescission of the contract, reduction of the purchase price, or compensation for direct or indirect damages, are excluded.
8.7 Force majeure releases the contracting parties from their obligations for the duration and scope of its effects. Force majeure includes strikes, blockades, lockouts, accidents, fire, earthquakes and other natural disasters, wars, civil wars or uprisings, sabotage, extraordinary official or governmental measures, interventions or seizures of any kind, quarantine restrictions, transport disruptions, third-party fault outside the parties' control, etc. The contracting parties are obliged to provide each other with the necessary information without delay within reasonable limits and to adjust their obligations in good faith to the changed circumstances.
8.8 For designated special purchase items, the manufacturer's warranty and guarantee conditions apply.
8.9 Airproduct AG has a business and product liability insurance and is liable in the event of damage up to the insured amount. Any further claims are excluded.
8.10 For products provided free of charge, for example within the framework of promotions or as complimentary items, Airproduct AG provides no warranty or guarantee. Liability by Airproduct AG is excluded. Any warranty or service claims must be made directly with the respective manufacturer. This applies regardless of the type, scope, or value of the free item.
9.1 Unless otherwise specified, the place of performance for services under this contract is the headquarters of Airproduct AG.
9.2 Airproduct AG is entitled to process and store data received in the context of the business relationship with the customer, regardless of the source, in accordance with data protection laws.
9.3 The exclusive place of jurisdiction for all disputes arising from this contract is the headquarters of Airproduct AG. However, Airproduct AG is entitled to sue the customer in another competent court.
9.4 These T&C and all contracts concluded based on them are subject to Swiss substantive law.
10.1 Goods received may be returned up to 14 days after the date stated on the delivery note. Returns are only accepted for unused, originally packaged goods. Chemical and chemical-technical products are excluded from returns. A restocking fee of 10% of the net value of the returned goods will be charged for processing and re-stocking.
10.2 Special purchase items ordered at the customer's request are excluded from the return policy. They cannot be canceled or returned. In such cases, the full delivery costs (including possible return costs) and the sales price will be charged to the customer.
10.3 Custom-made products such as workshop or vehicle fittings cannot be returned. Cancellations are only possible before pre-production has been ordered. After this point, the full sales price will be charged.
11.1 Airproduct AG has committed itself to the following Codes of Conduct: Code of Compliance (Reca Group). Compliance has the highest priority at Airproduct AG as well as at RECA AG and throughout the RECA Group. The boards of RECA AG and the managing directors of all companies in the RECA Group expressly commit to fair competition and compliance with all applicable national and international laws, particularly regarding corruption, bribery, and price fixing, which are strictly rejected and not tolerated in any way.
11.2 RECA AG has a number of policies in which corresponding rules of conduct are clearly defined. Every employee is informed and trained accordingly.
12.1 Products provided free of charge to the customer in the context of campaigns, promotions, or special offers (e.g., as a shopping cart addition) are considered a voluntary extra service by Airproduct AG. No warranty or guarantee is provided for these products by Airproduct AG. Any warranty claims must be made directly with the manufacturer. Liability by Airproduct AG is excluded.
